GNC Announces Proposed Senior Secured Notes Offering

PITTSBURGH - Nov. 8, 2017 // PRNewswire // - GNC Holdings, Inc. (NYSE: GNC) (the "Company"), a leading global specialty health, wellness and performance retailer, today announced that its wholly-owned subsidiary, General Nutrition Centers, Inc. (the "Issuer") intends to offer, subject to market conditions and other considerations, senior secured notes due 2022 (the "Notes") in a private offering to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), and to non-U.S. persons outside the United States pursuant to Regulation S under the Securities Act. The Notes will be guaranteed on a senior secured basis by the Issuer's parent company, GNC Corporation, and by certain of the Issuer's direct and indirect subsidiaries that are borrowers or guarantors under a new senior secured term loan facility and new senior secured asset-based revolving credit facility.

The Company intends to use the net proceeds from this offering, together with borrowings under a new senior secured term loan facility and new senior secured asset-based revolving credit facility, to prepay and terminate its existing credit facility and to pay related fees and expenses. Any remaining net proceeds will be used for general corporate purposes.
