Clockwork Home Services Announces Acquisitions of Plumbing, Heating & Air Conditioning and Electrical Franchisees and SuccessWare, Inc.

Expands Company-Owned Retail Operations Across United States

SARASOTA, Fla.--(BUSINESS WIRE)--Clockwork Home Services, Inc. (Clockwork) today announced its acquisition of several successful plumbing, air conditioning & heating and electrical franchisees operating in markets across the United States. Clockwork's acquisition of these companies is effective as of July 1, 2007. The acquired companies will operate in their respective markets under the One Hour Air Conditioning & Heating, Benjamin Franklin Plumbing and Mister Sparky Electrical brands as fully-owned Clockwork retail units. Clockwork also announced its acquisition of SuccessWare, Inc., a fast-growing leader that develops business management software for the residential services industry.

The newly acquired companies are:

* Mitchell Heating and Cooling, Inc. (Avon, OH) dba One Hour Heating & Air Conditioning
* Climate Select, Inc. (Rocklin, CA) dba One Hour Heating & Air Conditioning
* Myrtle Beach Heating and Cooling, Inc. (Myrtle Beach, SC) dba One Hour Heating & Air Conditioning
* Candlelight Heating and Air, Inc. (Denver, CO) dba One Hour Air Conditioning & Heating
* Candlelight Plumbing, Inc. (Denver, CO) dba Benjamin Franklin Plumbing
* Candlelight Electric Company (Denver, CO) dba Mister Sparky Electrical

Under terms of the deal, Clockwork is assuming ownership, rights and use of the acquired companies' assets, intellectual property, trucks, equipment and offices. Additional terms were not disclosed.

Mitchell Heating and Cooling, Inc. was founded in 1982 and became a One Hour Heating & Air Conditioning franchise in 2003.

Climate Select, Inc. was founded in 2001 and became a One Hour Heating & Air Conditioning franchise in 2005.

Myrtle Beach Heating and Cooling, Inc. was founded in 1985 and became a One Hour Heating & Air Conditioning franchise in 2004.

Candlelight Electric Company was founded in 1996. In 2005, the company's plumbing and air conditioning & heating operations were franchised under the Benjamin Franklin Plumbing and One Hour Air Conditioning & Heating brands, respectively. In 2006, Candlelight's electrical operations were franchised under the Mister Sparky Electrical brand.

SuccessWare, Inc., based in Buffalo, New York, was formed in 1993 and, since then, has quickly and successfully grown its customer base to over 700 contractors in nearly every state and province in the United States and Canada.
