Toys"R"Us, Inc. Announces Pricing of $450 Million Senior Notes Due 2017

WAYNE, NJ – July 26, 2012 – Toys "R" Us, Inc. announced today the pricing of $450,000,000 million aggregate principal amount of its senior notes due 2017. The notes will have an interest rate of 10.375% per annum. The Notes will be issued at a price of 99.033% of the aggregate principal amount. The Company intends to use the net proceeds from the offering of the Notes to redeem the $400.0 million outstanding principal amount of its 7.875% senior notes due 2013, including any accrued and unpaid interest and premiums, to pay fees and expenses incurred in connection with this offering, and for general corporate purposes. Closing of the offering is subject to customary closing conditions.

The notes will be offered only to qualified institutional buyers in reliance on the exemption from registration set forth in Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and outside the United States to non-U.S. persons in reliance on the exemption from registration set forth in Regulation S under the Securities Act. The notes have not been registered under the Securities Act, or the securities laws of any state or other jurisdiction, and may not be offered or sold in the United States without registration or an applicable exemption from the Securities Act.
